Transition Provisions

[Effective] As of July 20th, 2026 until amended or revoked.

1. Purpose

These Transition Provisions ("Transition Provisions") govern the migration of existing users and subscriptions from the previous version of the Heurio General Terms and Conditions ("Old GTC") to the new General Terms and Conditions effective as of July 20th, 2026 ("New GTC"). Capitalised terms not defined herein have the meaning given to them in the New GTC.

2. Migration of projects and users

2.1 On the effective date of the New GTC ("Migration Date"), the Company automatically migrates all existing projects and users to the new Workspace-based model as follows.

2.2 Owner identification. For each existing project, the Company identifies the user holding Owner rights for that project on the Migration Date. Each project has exactly one Owner.

2.3 Workspace creation. A single Workspace is automatically created for each Owner, into which all projects of that Owner are migrated. The Workspace is named by default after the Owner; the Owner may rename the Workspace at any time after the Migration Date.

2.4 Migration of other project participants. Users who participated in a migrated project as Editor or Viewer under the Old GTC are added to the Owner's Workspace as Inactive Users. As Inactive Users, they have no access to the Workspace's projects until the Owner activates them by assigning them a Seat in accordance with the New GTC.

2.5 Users in multiple Owners' projects. A user who participated in projects of several different Owners is added as a Inactive User to the Workspace of each such Owner separately.

3. Treatment of existing subscriptions

3.1 Heurio Starter (free) users. Heurio Starter ceases to exist on the Migration Date. The user accounts and data of former Starter users are preserved; their projects are migrated in accordance with Section 2 above. A fourteen (14) day free Trial of Heurio Professional is available to users who have a Starter plan before July 20th. Continued use of the Platforms in accordance with the New GTC requires a paid Heurio Professional subscription.

3.2 Heurio Professional - monthly subscribers. Existing monthly Professional subscriptions are automatically converted on the Migration Date to a new Heurio Professional subscription for one (1) Seat under the New GTC. The next billing cycle starts on the user's existing monthly billing anchor date and is charged in accordance with the New GTC.

3.3 Heurio Professional - semi-annual and annual subscribers. Existing semi-annual and annual Professional subscriptions are terminated on the Migration Date. The Company calculates the prepaid but unused portion of the usage fee on a calendar-day basis, and credits the corresponding amount in USD to the user's account ("Migration Credit"). The Migration Credit may be used to offset future Heurio Professional subscription fees under the New GTC. The Migration Credit is non-refundable in cash and does not expire as long as the user's account exists.

3.4 Heurio Organization. Heurio Organization customers are governed by their individual agreements with the Company; these Transition Provisions do not apply to them.

4. Effects of the migration

4.1 As of the Migration Date, the Owner has full access to all migrated projects in the Owner's Workspace and may continue to use them in accordance with the New GTC.

4.2 Other migrated participants (Inactive Users under Section 2.4) lose access to the migrated projects on the Migration Date. The Owner may restore their access at any time by assigning them an active Seat under the New GTC, which triggers the corresponding subscription fee in accordance with Section 7 of the New GTC.

4.3 No grace period applies. The migration takes effect immediately on the Migration Date.

5. Relationship with the New GTC

5.1 As of the Migration Date, the New GTC governs the contractual relationship between the Company and each user. The Old GTC is replaced in its entirety, save for the specific transitional rules set out herein.

5.2 In case of a conflict between these Transition Provisions and the New GTC during the migration, these Transition Provisions prevail. Once the migration is completed and any Migration Credit is exhausted, the New GTC applies exclusively.

6. Final provisions

6.1 These Transition Provisions enter into force on the Migration Date and remain in force as long as any Migration Credit remains in use.

6.2 The Company informs users of the migration and the entry into force of the New GTC by e-mail prior to the Migration Date.
